Company particulars report

Besides to basic company information, a company particulars report will provide company
information such as the company’s registered office address (for local companies), address of
principal place of business in Hong Kong and particulars of authorized representatives (for registered
non-Hong Kong companies), share capital structure, name(s) of current director(s) and reserve
director(s) (if any), particulars of company secretary, particulars of receiver(s) and manager(s) (if any)
and particulars of liquidator(s) (if any).

Certificate of Continuing Registration = Certificate of Good Standing

Certificate of Continuing Registration (“CCR”) is a certificate issued by the Companies Registry to
certify that the company named in the certificate is a local company or a registered non-Hong Kong
company incorporated or registered in Hong Kong under the Companies Ordinance and the company
remains registered in the Companies Register as at the date of issue of the CCR. The current name
and the date of incorporation or registration of the company will be shown on the CCR.

Certificate of Incorporation

Certifcate of Incorporation also referred to as Articles of Incorporation is an official document that
proves that a company has been legally created and officially exists. Also referred to : articles of incorporation

COPY of the Memorandum and Articles of Association

The memorandum confirms that the founders wish to form a company under the Companies Act and
agree to become the first members of the company. In the case of a company that is to have a share
capital, they undertake to subscribe for at least one share each.
Articles of association form a document that specifies the regulations for a company’s operations and
defines the company’s purpose. The document lays out how tasks are to be accomplished within the
organization, including the process for appointing directors and the handling of financial records.

COPY of the Incorporation Form (Company Limited by Shares)

It is the copy of the NNC1 form that every company must file by the
corporate registry at the time of the incorporation.
“Limited by shares” means that the liability of the shareholders to creditors of the company is limited
to the capital originally invested, i.e. the nominal value of the shares and any premium paid in return
for the issue of the shares by the company. A shareholder’s personal assets are thus protected in the
event of the company’s insolvency, but any money invested in the company may be lost.

Both of these documents are official documents to register a change in the company particulars.

COPY of the Annual Return

The amount or rate of income that an investment makes in a year.
Documents that a person or company sends to the government which are used to calculate how
much they must pay in taxes.

COPY of the Directors index

You can obtain a list of all current director(s) and reserve director(s) (if any) of a company (company-
based search), a list of companies of which a person is currently a director or reserve director
(director-based search) or the particulars of a specified current director or reserve director (if any) of
a company (director particulars search).
